Terms of Service

1. Acceptance

By downloading, installing, or using Pannely (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Pannely is a desktop application that provides a unified multi-panel interface for multiple AI models (OpenAI, Anthropic, Google Gemini, DeepSeek, Moonshot, Groq, SiliconFlow, Ollama, and others). A free tier is available with limited features; Pannely Pro unlocks full functionality.

You must provide your own API keys from the respective AI providers. Pannely does not resell or proxy AI API access — all AI requests are made directly from your device to the respective provider.

3. Accounts

You are responsible for maintaining the confidentiality and security of your account. You must be at least 13 years old to use the Service. One account per person; sharing or transferring accounts is not permitted.

4. Billing

Pannely Pro is sold as a one-time purchase. Once purchased, Pro access remains active for your account indefinitely, including future updates unless otherwise stated at the time of sale.

There are no recurring subscription charges for the direct-purchase version of Pannely Pro sold on our website.

6. App Store Purchases

If you purchase Pannely Pro through the Mac App Store, the transaction is processed by Apple and governed by Apple's End User License Agreement and refund policies. Refund requests for App Store purchases must be submitted directly to Apple.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or extract source code from the desktop application
• Share, resell, or sublicense your Pro purchase to other users
• Circumvent, disable, or otherwise interfere with license verification mechanisms
• Use the Service to generate content that is illegal, harmful, or violates the terms of the underlying AI providers

8. Intellectual Property

Pannely, its logo, and all original content, features, and functionality are owned by the Pannely team and are protected by applicable intellectual property laws. Your AI conversations, notes, and API keys remain entirely yours.

9. Third-Party AI Services

Pannely connects to third-party AI providers using API keys you supply. We are not responsible for the availability, accuracy, or content of responses generated by these providers. Your use of each AI service is also subject to that provider's own terms and policies.

10. Disclaimer & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate.

To the maximum extent permitted by law, Pannely shall not be liable for any indirect, incidental, special, or consequential damages. Our total cumulative liability shall not exceed the amount you paid in the 12 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time by emailing support@pannely.com.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes shall be resolved through good-faith negotiation; if unresolved, through binding arbitration or competent courts.

13. Changes

We may update these Terms from time to time. We will notify you by email for material changes at least 14 days before they take effect. Continued use of the Service after changes constitutes your acceptance of the updated Terms.
